Process to Incorporate the Company in India
Incorporating a company in India is now done through a single integrated web form called SPICe+ (Simplified Proforma for Incorporating Company Electronically Plus) on the Ministry of Corporate Affairs (MCA) website.
Here is the easy, simplified 3-step guide to registering a Private Limited Company (the most common type).
Step 1: The Prerequisites (Get these ready first)
Before filling out any forms, you need to gather the raw materials.
Digital Signature Certificate (DSC): Since the process is 100% online, you cannot sign physically. You must buy a Class 3 DSC for all proposed directors and shareholders from a vendor (like eMudhra or Sify).
Documents Required:
For Directors/Shareholders: PAN Card (Mandatory), Aadhaar Card, and a recent Bank Statement (or electricity/mobile bill not older than 2 months).
For Registered Office: Recent Electricity Bill/Gas Bill (not older than 2 months) AND a Rent Agreement + NOC from the landlord (if rented) or Proof of Ownership (if owned).
Step 2: The SPICe+ Web Form (The Main Process)
You (or your professional) will log in to the MCA Portal and fill out the SPICe+ form. It has two parts:
Part A: Name Reservation
You check if your desired company name is available.
You can propose 2 names.
Tip: Ensure the name is unique and doesn't infringe on existing trademarks.
Part B: Incorporation & Integrated Services Once the name is approved, you fill in the details of the company (address, capital, directors). This single form automatically applies for 10 services at once:
Company Incorporation
DIN (Director ID Number) for up to 3 directors
PAN (Permanent Account Number)
TAN (Tax Deduction Account Number)
EPFO Registration (Provident Fund)
ESIC Registration (Employee State Insurance)
Profession Tax (only for Maharashtra)
Bank Account Opening
GST Registration (Optional but recommended)
Shop and Establishment Registration (for Delhi)
Attachments: You will upload the "MoA" (Memorandum of Association) and "AoA" (Articles of Association) digitally within this form.
Step 3: Certification & Approval
Professional Attestation: This is the most important part. You cannot do this entirely yourself. The forms (specifically INC-9 and DIR-2) must be digitally signed and attested by a practicing professional—a Chartered Accountant (CA), Company Secretary (CS), or Cost Accountant in practice.
Submission: Pay the government fees online.
Note: If your Authorized Capital is up to ₹15 Lakhs, the government registration fee is Zero. You only pay stamp duty (varies by state) and professional fees.
Result: If all documents are correct, you will receive your Certificate of Incorporation (CoI) via email, usually within 3–7 working days. This certificate will contain your CIN (Corporate Identity Number), PAN, and TAN.
