šŸŒ Legal Insight for NRIs: Understanding TDS & FEMA Compliances in Real Estate Transactions

For Non-Resident Indians (NRIs) managing or liquidating assets in India, strict adherence to the Income Tax Act and FEMA regulations is not just advisable—it is mandatory. A common oversight observed in cross-border property transactions involves the implications of Tax Deducted at Source (TDS) and the subsequent repatriation of funds.

Key Legal Provisions to Consider:

  1. Section 195 of the Income Tax Act (TDS Implications): When a buyer purchases property from an NRI, they are required by law to deduct TDS at the applicable rates (often ranging between 20% to 23.92%) on the entire sale consideration, not just the capital gains.

Legal Recourse: Under Section 197, an application can be made to the Income Tax Department for a Lower Deduction Certificate (Form 13), which determines the specific tax liability based on actual capital gains.

  1. Procedural Formalities via Power of Attorney: Physical presence is often not feasible. The law allows for the execution of property transfers (Mutations, Transfer Memorandums) through a validly executed Specific Power of Attorney (SPA). Ensuring this document meets the criteria of the Registration Act is critical to avoid title defects.

  2. Repatriation of Funds (FEMA Guidelines): Remitting sale proceeds outside India requires compliance with RBI guidelines under the Foreign Exchange Management Act (FEMA). Form 15CA & 15CB: These are mandatory filings certified by a Chartered Accountant to establish that due taxes have been paid before funds are repatriated.

Proper legal structuring and timely compliance with statutory authorities can prevent litigation and financial loss. It is recommended to seek professional legal counsel to navigate these regulatory frameworks efficiently.
